1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Platform. You may not use the Platform if you are barred from doing so under applicable law or are located in a jurisdiction where the Platform is prohibited. By using the Platform, you represent that you meet these requirements.

2. Definitions

• Earner / User — a person who completes tasks on the Platform to earn rewards.
• Business Client — a business that uses the Platform to obtain genuine human feedback on its products or listings.
• Task — a unit of work, such as reviewing a product and leaving an honest rating and comment.
• Credits — the in-Platform balance used as fuel to perform tasks and make in-Platform purchases. Credits are obtained through deposits, grants, or promotions and are not withdrawable as cash.
• Coins — the in-Platform balance you earn as rewards for completed tasks, challenges, and referrals. Coins are withdrawable subject to these Terms, with a nominal value of one U.S. dollar (US$1.00) per Coin.

3. Accounts and security

• You must provide accurate, current, and complete information when registering and keep it up to date.
• You are responsible for safeguarding your credentials and for all activity that occurs under your account.
• Each person may maintain only one account. Creating multiple accounts to obtain bonuses, evade limits, or manipulate the Platform is prohibited.
• You may register with an email and password or through Google sign-in. Password accounts may be required to verify their email address before accessing certain features, including deposits and withdrawals.
• Notify us promptly at [email protected] if you suspect any unauthorized use of your account.

4. The service

The Platform is a two-sided marketplace. Earners complete tasks — primarily leaving authentic reviews and comments — and receive rewards. Business Clients receive genuine human feedback to help optimize their listings. We facilitate these interactions; we do not guarantee any particular outcome, ranking, sales result, or level of earnings.

5. Earner conduct and review integrity

Authentic human feedback is the core of the Platform. When you complete tasks, you agree that:

• Every review, rating, and comment reflects your own honest, genuine opinion and, where relevant, your actual experience with the product;
• You will not use bots, scripts, automation, or AI to generate reviews or to complete tasks on your behalf;
• You will not submit fake, duplicated, plagiarized, misleading, or low-effort content;
• You will comply with all applicable laws and with the policies and disclosure requirements of any third-party platform or marketplace where you post, including any rules on disclosing incentives; and
• You understand each task is one-time: once completed it cannot be repeated for additional reward.

We are paying for your time and honest effort, not for a specific opinion or a positive rating. Content that violates this section may be rejected, and associated rewards may be withheld or reversed.

6. Credits, Coins, and the in-Platform economy

• Credits are fuel. They are spent to perform tasks and to make in-Platform purchases. Credits have no cash value, are not redeemable for money, and are not withdrawable.
• Coins are earnings. They accrue from completed tasks, challenges, and referral rewards, and may be withdrawn in accordance with Section 8.
• No interest. Balances do not earn interest and are not bank deposits or stored-value instruments.
• Package tasks. Certain tasks belong to packages whose reward is paid only after every task in the package is completed. Spending Credits on package tasks does not entitle you to a reward unless and until the package is finished.
• Adjustments. We may correct balances and reverse rewards obtained through error, fraud, or breach of these Terms, and we maintain an append-only ledger of transactions for accuracy and auditing.

7. Deposits

Deposits are made manually using supported cryptocurrency networks and are credited as Credits after we confirm payment. You are responsible for sending the correct amount to the correct address on the correct network. Cryptocurrency transactions are generally irreversible: funds sent to the wrong address or network, or that do not match your request, may be unrecoverable. A minimum deposit amount may apply. Deposits are credited at our confirmation and may be subject to review for fraud and compliance.

8. Withdrawals and payouts

• You may request a withdrawal of Coins to a cryptocurrency wallet address you have saved to your profile. Withdrawals can only be sent to a saved address on a supported network.
• When you request a withdrawal, the requested amount is reserved from your spendable balance; your spendable balance equals your Coin balance minus amounts reserved for pending withdrawals.
• A minimum withdrawal amount may apply, as shown on the withdrawal page.
• Withdrawal requests are reviewed and may be approved or rejected. If rejected, the reserved amount is released back to your balance. Approved withdrawals are paid out and the amount is deducted from your balance.
• We may delay, decline, or require additional verification for any withdrawal where we suspect fraud, abuse, or a legal or compliance concern.
• You are solely responsible for providing a correct payout address; we are not liable for funds sent to an address you provided.

9. Referrals

You may invite others using your referral link. Referral bonuses and commissions are paid only when the conditions we set are met and are subject to anti-abuse rules. Self-referrals, fake accounts, incentivized sign-ups that do not result in genuine activity, and other manipulation are prohibited and may result in forfeiture of referral rewards and account action.

10. Prohibited activities

You agree not to:

• Use bots, automation, scraping, or any automated means to access the Platform or complete tasks;
• Create or operate multiple accounts, or share or sell accounts;
• Submit fraudulent, fake, or manipulated reviews, deposits, or withdrawals;
• Engage in money laundering or use the Platform to process proceeds of unlawful activity;
• Interfere with, disrupt, probe, or attempt to gain unauthorized access to the Platform or its security;
• Infringe the rights of others or post unlawful, defamatory, or infringing content; or
• Misrepresent your identity or circumvent any restriction, limit, or gate within the Platform.

11. Your content and license

You retain ownership of the reviews, comments, and other content you submit (“User Content”). You grant us and our Business Clients a worldwide, non-exclusive, royalty-free, sublicensable license to use, host, store, reproduce, display, and distribute your User Content for the purpose of operating the Platform and delivering feedback to Business Clients. You represent that your User Content is your own, is accurate and honest, and does not infringe any third-party rights or violate any law.

12. Business Client terms

If you use the Platform as a Business Client, you agree to use the feedback you receive lawfully and in compliance with the rules of any marketplace or platform on which it is published, including all applicable consumer-protection and advertising-disclosure laws. You acknowledge that we facilitate authentic, independent human feedback and do not promise or control the content, sentiment, or volume of reviews, nor any specific ranking, traffic, or sales outcome.

13. Intellectual property

The Platform, including its software, design, text, graphics, and trademarks, is owned by OmniFinding Inc or its licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-transferable license to use the Platform for its intended purpose. You may not copy, modify, distribute, reverse engineer, or create derivative works from the Platform except as permitted by law.

14. Suspension and termination

We may suspend, restrict, or terminate your account, and withhold, reverse, or forfeit balances obtained through fraud or in breach of these Terms, if we believe you have violated these Terms or applicable law, or to protect the Platform, other users, or third parties. You may stop using the Platform at any time. On termination, the provisions that by their nature should survive — including those on content licenses, disclaimers, liability, indemnification, and dispute resolution — will continue to apply.

15. Cryptocurrency risk disclosure

Cryptocurrency values are volatile, and transactions are generally irreversible and may be affected by network conditions, fees, and changing regulation. You are responsible for the wallets, networks, and addresses you use. We are not a bank, exchange, custodian, or money-services business, and balances on the Platform are not insured. You use cryptocurrency features at your own risk.

16. Taxes

You are solely responsible for determining, reporting, and paying any taxes that apply to your earnings, deposits, or withdrawals. Where required by law, we may collect tax information from you and report payments to the relevant authorities.

17. Disclaimers

The Platform is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or secure, or that any particular level of earnings, ranking, or result will be achieved.

18. Limitation of liability

To the maximum extent permitted by law, OmniFinding Inc and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or cryptocurrency, arising out of or relating to your use of the Platform. Our total aggregate liability for any claim relating to the Platform will not exceed the greater of (a) the total amount you paid us in the three months before the event giving rise to the claim, or (b) US$100. Some jurisdictions do not allow certain limitations, so some of these limits may not apply to you.

19. Indemnification

You agree to indemnify and hold harmless OmniFinding Inc and its personnel from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Platform, your User Content, your violation of these Terms, or your violation of any law or third-party right.

20. Governing law and dispute resolution

These Terms are governed by the laws of the State of Texas and applicable U.S. federal law, without regard to conflict-of-laws rules. Subject to applicable law, any dispute arising out of or relating to these Terms or the Platform will be resolved through binding individual arbitration or in the state or federal courts located in Texas, and you and we waive any right to a jury trial and to participate in a class action. Nothing in this section prevents either party from seeking injunctive relief to protect its intellectual property or from bringing a claim in small-claims court.

21. Changes to the Terms or the Platform

We may modify these Terms or the Platform at any time. When we make material changes to these Terms, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

22. General

These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Platform. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control.
